V.I.P. Day Coaching Services Agreement

This Agreement (the "Agreement") is made effective as of the date of Client's purchase/payment for services by and between:

Client:


WHEREAS, The Write Author is a professional writing mentor and coach offering specialized V.I.P. Day services, and Client desires to engage The Write Author to provide such services.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. Services Provided

The Write Author agrees to provide the Client with a V.I.P. Day, which consists of three (3) hours of personalized, one-on-one writing coaching via video call (Zoom) or other mutually agreed upon platform. The specific focus areas for the V.I.P. Day will be determined by mutual agreement based on the Client's pre-session questionnaire and current writing challenges. Services may include, but are not limited to, plot development, character work, outlining, overcoming procrastination, strengthening narrative technique, and strategic planning for the Client's manuscript.

2. Session Booking & Flexibility

The three (3) hours of personalized coaching can be delivered in one of two ways, chosen by the Client at the time of booking:

Phased Progress: Three (3) focused one-hour sessions. The first session can be booked upon receipt of the first payment (for payment plan clients) or full payment. Subsequent one-hour sessions can be booked as each following monthly payment is successfully processed.

Single Intensive Block: One (1) full three-hour session. This entire session can be scheduled once all payments (for payment plan clients) or full payment have been successfully processed.

All sessions must be scheduled and completed within 6 months from the date of the first payment, unless otherwise agreed upon in writing by both parties.

3. Client Responsibilities

The Client agrees to: a. Complete any pre-session questionnaires or preparatory materials in a timely manner. b. Be present and engaged for scheduled sessions. c. Provide necessary information or materials requested by The Write Author relevant to the service. d. Understand that coaching results are not guaranteed and depend on the Client's active participation and implementation.

4. Fees and Payment

The Client agrees to pay The Write Author the fee for the V.I.P. Day services as follows:

Option 1: Paid in Full: A one-time payment of $1000.

Option 2: Flexible Payment Plan: Three (3) monthly payments of $365, totaling $1095.

All fees are non-refundable once services have commenced, as per Section 5.

5. Cancellations, Rescheduling & Refunds

Rescheduling: Clients may reschedule a session with at least 48 hours' notice without penalty. Sessions rescheduled with less than 48 hours' notice may be forfeited or subject to a rescheduling fee at The Write Author's discretion.

The Write Author Cancellation: If The Write Author must cancel a session, a mutually agreeable rescheduled time will be arranged.

Refund Policy Due to the personalized and time-intensive nature of the V.I.P. Day, all payments become non-refundable 7 calendar days after the date of payment. Additionally, all payments become non-refundable once services have commenced, regardless of the 7-day period.

Commencement of services includes, but is not limited to, when any of the following happens, whichever is first:

The Write Author reviews Client's submitted materials (e.g., manuscript pages, questionnaires).

The initial coaching session is scheduled.

The initial coaching session is completed.

For clients on a Flexible Payment Plan, all remaining installments are due as scheduled once the Agreement is active and services have commenced, or 7 calendar days after the date of their initial payment, whichever comes first.

6. Service Expiration & Exceptional Circumstances

All V.I.P. Day services, whether a Single Intensive Block or Phased Progress sessions, must be scheduled and completed within 6 months from the date of the first payment. After this 6-month period, any unredeemed or uncompleted V.I.P. Day sessions or services will expire and are no longer valid for use or refund, except as explicitly stated in the 'Exceptional Circumstances' clause below.

Note: The initial 7-day refund policy (Section 5) applies to all purchases. After 7 days, the service is non-refundable unless otherwise stated herein.

Exceptional Circumstances (Business Closure or Owner Incapacity):

In the unlikely event that The Write Author permanently ceases operations, or if the Coach (Rebecca E. Schmuck) becomes permanently incapacitated and unable to fulfill purchased V.I.P. Day services, a prorated refund may be issued for unredeemed V.I.P. Day sessions.

Prorated Calculation: If a refund is applicable under these exceptional circumstances, the amount will be calculated based on the unused portion of the 6-month service window. This applies only to services that have not been fully rendered (i.e., sessions have not commenced or been completed).

Process: Such refunds will be managed by legal counsel for The Write Author.

No Refunds After Expiration (Under Normal Circumstances): No refunds will be issued for services unredeemed after the 6-month expiration period under normal circumstances, unless a prior written agreement or specific provision for these exceptional circumstances is in place before the expiration.

Alternative Resolution (At The Write Author's Discretion): In lieu of a refund or in addition to it, The Write Author, at its sole discretion, may offer to transfer unredeemed services to an approved third-party coach or provide other suitable alternatives.

7. Confidentiality

The Write Author agrees to keep all Client information, including manuscript content and personal discussions, confidential. This confidentiality does not apply to information that: (a) is or becomes publicly known through no fault of The Write Author; (b) is already known by The Write Author without confidentiality obligations; (c) is independently developed by The Write Author without use of Client's confidential information; or (d) is required to be disclosed by law.

8. Intellectual Property

All intellectual property rights, including copyright, in the Client's manuscript and original ideas remain solely with the Client. The Write Author provides guidance and feedback but does not claim ownership of the Client's creative work. Any materials provided by The Write Author (e.g., worksheets, guides) remain the intellectual property of The Write Author.

9. Limitation of Liability

The Write Author is not responsible for the Client's actions or results. The Write Author acts as a guide and facilitator, but the ultimate responsibility for implementing strategies, writing, and achieving desired outcomes rests solely with the Client. The Write Author shall not be liable for any indirect, incidental, special, or consequential damages.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee. Any disputes arising under or in connection with this Agreement shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation, the parties agree to participate in non-binding mediation. If mediation is unsuccessful, any remaining disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Cumberland County, Tennessee.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
